Article 1 – Definitions
In these Terms and Conditions, the following definitions apply:
Webpilot
Webpilot, a company registered in the Netherlands with the Chamber of Commerce under number KVK89318293, hereinafter referred to as “Webpilot”.
Client
Any natural person or legal entity entering into an agreement with Webpilot.
Agreement
Any agreement between Webpilot and the Client concerning the provision of services or products.
Services
All services provided by Webpilot, including but not limited to:
- website development
- AI-Generated websites or content
- web hosting
- domain name registration
- website maintenance and management
- digital services and consulting
Article 2 – Applicability
- These Terms and Conditions apply to all offers, services, agreements, and deliveries of Webpilot.
- Deviations from these Terms are only valid if explicitly agreed upon in writing.
- Any terms and conditions used by the Client are expressly rejected.
- If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force.
Article 3 – Offers and Formation of Agreement
- All offers made by Webpilot are non-binding unless explicitly stated otherwise.
- Offers remain valid for 30 days, unless otherwise specified.
- An agreement is concluded when:
- the Client accepts an offer in writing, or
- Webpilot begins execution of the requested services.
4. Webpilot reserves the right to refuse requests or assignments without stating reasons.
Article 4 – Execution of Services
- Webpilot shall perform its services to the best of its knowledge and ability.
- Webpilot operates under a best-efforts obligation and does not guarantee specific results unless explicitly agreed in writing.
- Webpilot may subcontract third parties for the execution of services.
- The Client shall provide all necessary information required for the execution of the Agreement.
- If the Client fails to provide required information, Webpilot may suspend the execution of services.
Article 5 – Delivery and Acceptance
- Delivery timelines are indicative and not strict deadlines unless agreed otherwise in writing.
- The Client must inspect delivered services within 7 days of delivery.
- If no objections are raised within this period, the delivered work shall be deemed accepted.
- Any justified defects shall be corrected within a reasonable timeframe.
Article 6 – Pricing and Payment
- All prices are exclusive of VAT unless stated otherwise.
- Invoices must be paid within 14 days of the invoice date.
- Failure to pay on time results in the Client being automatically in default.
- Webpilot reserves the right to charge statutory interest and collection costs.
- Webpilot may suspend services if invoices remain unpaid.
- For subscription-based services such as hosting, Webpilot may require payment in advance.
Article 7 – Price Adjustments
- Webpilot reserves the right to adjust prices annually.
- Price adjustments may reflect inflation, operational costs, or technological developments.
- Clients will be informed of price adjustments in advance.
Article 8 – Ongoing Agreements (Hosting, Domains, Maintenance)
- Agreements for hosting, domain registration, or maintenance are entered into for 12 months, unless agreed otherwise.
- Agreements are automatically renewed for the same period unless terminated in writing.
- Termination requires at least one month’s notice prior to the renewal date.
- If no timely termination is provided, the agreement renews automatically.
Article 9 – Domain Name Registration
- Webpilot acts solely as an intermediary in the registration of domain names.
- Domain registrations are subject to the rules and policies of the relevant registry.
- Webpilot cannot guarantee domain name availability or registration.
- The Client is responsible for timely renewal of domain names.
Article 10 – Hosting and Service Availability
- Webpilot will make reasonable efforts to provide stable hosting services.
- Webpilot does not guarantee uninterrupted service availability.
- Temporary interruptions may occur due to:
- maintenance
- network issues
- data center failures
- third-party service interruptions
- security incidents
4. Webpilot is not liable for damages resulting from temporary service interruptions.
Article 11 – Acceptable Use Policy
The Client shall not use Webpilot’s services to:
- send spam or unsolicited communications
- distribute malware or viruses
- perform phishing activities
- host illegal or infringing content
- violate intellectual property rights
- engage in activities that disrupt Webpilot’s infrastructure
Webpilot reserves the right to suspend or terminate services in case of violations.
Article 12 – Intellectual Property
- All intellectual property rights relating to products and services developed by Webpilot remain the property of Webpilot.
- The Client receives a non-exclusive usage license unless otherwise agreed.
- Ownership of a website or project may only transfer after full payment of all outstanding invoices.
- Webpilot reserves the right to display completed projects in its portfolio and marketing materials.
Article 13 – AI-Generated Content
- Webpilot may use artificial intelligence technologies to create websites or content.
- AI-generated output may contain inaccuracies or errors.
- The Client is responsible for reviewing and approving AI-generated content before use.
- Webpilot shall not be liable for damages resulting from the use of AI-generated content.
Article 14 – Liability
- Webpilot’s liability is limited to the amount paid by the Client for the relevant service.
- Webpilot shall not be liable for:
- indirect damages
- loss of data
- loss of profits
- loss of business opportunities
- business interruption
4. The Client is responsible for maintaining backups of their data.
5. Liability limitations do not apply in cases of intentional misconduct or gross negligence.
Article 15 – Force Majeure
- Webpilot shall not be liable for delays or failures caused by force majeure.
- Force majeure includes but is not limited to:
- cyberattacks
- internet outages
- government actions
- power failures
- natural disasters
3. If a force majeure situation lasts longer than 30 days, either party may terminate the agreement.
Article 16 – Suspension and Termination
Webpilot may suspend or terminate services if:
- the Client fails to meet payment obligations
- the Client violates these Terms
- services are used for unlawful purposes
- fraud or abuse is detected
Article 17 – Governing Law
- These Terms and all agreements with Webpilot are governed by Dutch law.
- Any disputes shall be submitted to the competent court in the Netherlands where Webpilot is established.
Article 18 – Final Provisions
- Webpilot reserves the right to amend these Terms and Conditions.
- The latest version will always be published on the Webpilot website.
